You can create a standard process for review and negotiation once and then use it again and again. With Workflows, you can customize the review and negotiation process for contract journeys by designating specific users, different roles and responsibilities within the journey. There are three steps involved in creating a Workflow. ## Workflow Details 1. Select **Workflows** from the left navigation menu. 2. Click the **+ Create Workflow** button on the top right. 3. Select **Workflow Type**. Choose between **Outbound Deal** or **Inbound Deal** or both, depending on your requirements. - **Outbound Deal:** If you want to use your template for this deal. - **Inbound Deal:** If you want to upload the document shared by the counterparty. 4. Enter **Workflow Name** and **Description**. - For __Outbound Deals__, select the template(s) you want to use from the dropdown. A second field appears, allowing you to choose the version of the selected template. For each selected template, an **Assign Folder** button appears: - Click **Assign Folder** to open a popup and select a pre-configured folder for that template now. - Leave it **unassigned** to let the user select a folder at the Deal Initiation stage when running the workflow. - **Assign to Selected Templates:** After assigning a folder to the first template, check this box to apply the same folder to all selected templates. This avoids repetitive action. > **Info — Note** > > The **Assign to Selected Templates** checkbox is only available at the Edit Workflow stage. - For __Inbound Deals__, you can assign a folder for the documents that will be uploaded during deal initiation. You can configure it now or leave it open for the user to assign while running the workflow. > **Info** > > Both options can be enabled to accommodate documents received from the counterparty and those generated internally. ## Configure Collaborators On the next screen, you will see a list of collaborators. You can add the reviewers and the negotiators to the workflow at this stage. Below is a brief description of each collaborator. ### Initiator The initiator will [initiate the contract](https://knowledge.leegality.com/deal-collaboration/Contracts/initiate-contract) using this workflow. ### Pre-sharing Reviewer The pre-sharing reviewer reviews the document or a variable or a section in the document. You can add one or more reviewers, and different reviewers can review different variables and sections of the document. You can assign specific variables or sections to specific reviewers. 1. Click **+ Add Reviewer**. 2. You can either **assign a reviewer immediately or add them during deal initiation**. a. __To assign during workflow setup:__ Search and select the reviewer’s name, then choose the relevant template from the __Assign Template__ dropdown. b. __To assign during deal initiation:__ Simply select the template to be reviewed; reviewers can be added at that stage. - **Review Complete Document:** Specify the template that the reviewer needs to review. - **Review Specific Variables:** Enable this to assign particular variables to reviewers. Use the dropdown menu to select the specific variables that reviewers will review after deal initiation. - **Review Specific Sections:** Enable this to assign specific sections to reviewers. Use the dropdown menu to select the sections that reviewers will review after deal initiation. 3. You can include multiple pre-sharing reviewers and assign them different variables and sections to review. > **Info — ALERT** > > Pre-sharing reviewer unavailable with Inbound Workflow. ### Counterparty POC The Counterparty POC (Point of Contact) is the individual who negotiates on behalf of the counterparty during [deal negotiation](https://knowledge.leegality.com/deal-collaboration/deal-negotiation/introduction). You need to provide their contact details when initiating a deal. Configure how the document is shared with the counterparty using the __Counterparty Sharing Mode__ section. - Click __Share via Leegality Link__ to send the contract using a Leegality link. This link is specially configured to allow counterparty members that you configure, to access and review the document by logging in as **Guest Users** and getting access to the contract. An automated email is sent to those invited via this link, and they can login as Guest Users, view, download, upload their own version of the document and mark it as Final. Enable this option to share the Leegality link when sending the document for external review. - To share it outside the platform, click **Share Manually** and send the downloaded document manually. > **Info** > > You can also select both options to share the document. ### Negotiator The person who will be handling the negotiation of the contract. There are two types of negotiators. - **Business Negotiator:** Business negotiators will handle the negotiation with the counterparty POC. - Enable **Same as Initiator** if you want the business negotiator to be the same as the deal initiator. - Or, you can either **assign a Business Negotiator immediately** or **add them during deal initiation**. To Assign Now, simply search for their name, and then specify the template to the negotiator. - **Legal Negotiator:** Engages in legal review of documents during deal negotiation. - Click **+ Add Legal Reviewer** button. - You can either **Assign Now** or you can **Add during deal initiation**. To Assign Now, simply search for their name, and then specify the template. You can add multiple negotiators by clicking the **+ Add Business Negotiator** button below. 1. Click **Continue** to go to the **Workflow Settings** page. 2. Click **Previous** to go back. 3. Click **Cancel** to exit the workflow configuration. The progress made will be saved in the Workflow page as draft. A pop-up window appears as below: 4. Click **Exit** to confirm the cancellation. Click **Stay** to continue on the page. ## Workflow Settings ### TAT (Turnaround Time) Settings TAT allows you to set deadlines for specific collaborators. If a collaborator exceeds the set deadline, they will receive email notifications. ![TAT Settings](\img\DC-Counterparty-TAT.PNG) 1. Open the **TAT Settings**. 2. Select the **Collaborator** to whom you want to send the TAT notifications. 3. **Specify the TAT for Task** by entering the number of days within which the task should be completed. TAT value can be between 1 to 20 days. 4. Enable **Send TAT Breach email notification/s** to send recurring mail notifications. Upon enabling the same, the following fields appear: - **Repeat Breach Notifications**: Enable the toggle if you want to send recurring notifications for missed TAT deadlines. - __Repeat Every__: Enter how often the TAT breach notifications should be sent (in days). (Example: If set to 1, an email will be sent daily; if set to 2, an email will be sent every 2 days.) - __At Time__: Set the time of day (in HH:MM) when the notification should be sent. - __Ends After__: Specify the number of notifications after which the repeated TAT breach notifications should stop. 5. Add __Additional notification recipients__ for TAT breach notifications, if needed. (Note: The additional recipients will receive the CC email notification.) 6. Repeat the same steps to configure TAT notifications for other collaborators. 7. Click the __Continue__ button to save the workflow. The workflow has been created successfully. You will now get redirected to the **Workflow** page.
